1. Agreement
These Terms of Use ("Terms") are an agreement between you and Mediterra AI LLC ("Mediterra," "we," "us") governing your use of the Defter iOS application and related services ("Defter"). By downloading or using Defter you agree to these Terms. If you do not agree, do not use Defter.
2. The Service
Defter is a personal finance ledger: cards, accounts, transactions, budgets, rewards tracking, and an on-device assistant. Defter is informational only — it is not a bank, money transmitter, broker, or financial, tax, or legal advisor, and nothing in Defter is financial advice. Reward estimates and projections are estimates; confirm figures with your card issuer before relying on them.
3. Subscriptions and Billing
Defter offers auto-renewing subscriptions purchased through the Apple App Store. The price is shown at the point of purchase. Your subscription renews automatically unless you cancel at least 24 hours before the end of the current period; your Apple account is charged for renewal within 24 hours before the period ends. You can manage or cancel your subscription anytime in your App Store account settings. If we change a subscription price, we'll notify you in advance, and where required by the App Store, renewal at the new price requires your consent.
4. Plan Limits, Downgrades, and Expiration
Each plan includes a maximum number of active bank connections, as described at purchase; some plans may be unlimited.
If your subscription is downgraded, cancelled, refunded, or expires, or a renewal payment fails, and your active connections exceed your new plan's limit, only connections up to the new limit continue syncing. You may choose which connections remain active; until you choose, Defter keeps the most recently synced connections active up to the limit and pauses the others.
A paused connection performs no new account, balance, or transaction fetches. It can resume if you select it within your limit or upgrade. You may explicitly remove a paused connection, which revokes provider access and converts its existing local cards and accounts to manual entries.
Pausing or removing a connection does not delete data already synced: transactions, balances, and history remain in your ledger until you delete them or delete your account.
We may change plan features or limits prospectively with reasonable notice; changes won't reduce what you've already paid for in the current period.
5. Bank Connections and Data Providers
Bank connections are provided through our banking data provider, Plaid Inc. By connecting an account, you authorize us and Plaid to access your account and transaction data on a read-only basis. Defter never sees or stores your bank username or password. You can disconnect any institution at any time in Settings. Your use of bank connections is also subject to the provider's terms and privacy policy.
6. Promotional Offers and Codes
We may offer free or discounted subscription periods, including App Store offer codes and Defter redemption codes. Offers are subject to their stated conditions, may expire, and unless stated otherwise are limited to one per user. Redemption codes are single-use and may not be sold or transferred for value. Unless you cancel before a promotional period ends, your subscription converts to a paid subscription at the then-current price.
7. Cancellation and Refunds
You can cancel anytime in your App Store account settings; you keep access through the end of the period you've paid for. Purchases are billed by Apple, and refunds are handled by Apple under its policies — request one at reportaproblem.apple.com. We can't issue refunds directly for App Store purchases.
8. Your Data
Your ledger lives on your device; a small amount of service data (account identifiers, bank-connection metadata) lives on our servers, as described in the Privacy Policy. Deleting your account in Settings removes your server-side data and revokes bank connections. You are responsible for keeping your device and its backups secure.
9. Acceptable Use
Don't misuse Defter: no reverse engineering except where the law permits it, no probing or disrupting the service, no using Defter to violate the law or third-party rights, and no reselling access. We may suspend or terminate access that violates these Terms.
10. Intellectual Property
Defter, including its design, marks, and software, is owned by Mediterra and its licensors. We grant you a personal, non-exclusive, non-transferable, revocable license to use the app on Apple-branded devices you own or control, consistent with the App Store terms.
11. Disclaimers
Defter is provided "as is" and "as available," without warranties of any kind, express or implied, including merchantability, fitness for a particular purpose, and non-infringement. We don't warrant that data from your bank or card issuer is accurate, complete, or timely, or that the service will be uninterrupted or error-free.
12. Limitation of Liability
To the maximum extent permitted by law, Mediterra will not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits, data, or goodwill. Our total liability for any claim relating to Defter is limited to the greater of the amount you paid us in the twelve months before the claim and fifty US dollars ($50).
13. Changes to These Terms
We may update these Terms from time to time. Material changes will be announced in the app or on this page with an updated date above. Continued use after changes take effect means you accept the updated Terms.
14. Governing Law
These Terms are governed by the laws of the State of California, excluding its conflict-of-law rules. Disputes will be resolved in the state or federal courts located in Santa Clara County, California, and you consent to their jurisdiction.
